Article 329: Nvidia Is Putting $3B Into Meta's $95B Raise. Meta Is Spending It on Nvidia Chips. Nobody Is Calling This Circular

Meta announced Monday it would raise up to $95 billion in new equity. On Tuesday, Nvidia said it would invest $3 billion of it. AMD and Broadcom are also in the book for up to $5B collectively, according to CNBC.

The stated purpose of the raise: fund AI infrastructure. The stated purpose of Nvidia's investment: deepen the partnership on Muse, Meta's AI agent, and support Meta's expansion of Vera Rubin systems and Vera CPUs - all Nvidia silicon.

Follow the money in a circle

Read these three sentences in order.

  1. Meta's free cash flow went negative $2.12B in Q3 2026, its first negative quarter since listing, while capex guidance stayed at $135-145B.
  2. Meta is covering that gap by selling shareholders $95B of stock rather than borrowing.
  3. Nvidia, AMD and Broadcom - Meta's largest suppliers - are buying part of that stock, and Meta will spend the proceeds largely on their products.

The structural break is $35B in underwritten public offerings, followed by up to $60B through an at-the-market program of new non-voting Class C shares that begin trading in January. That ATM is the tell. An ATM program is what you set up when you want to keep selling stock quietly for months without announcing each tranche. It is a tap, not an event.

Nvidia is not an investor anymore

Nvidia has participated in 121 investment rounds this year, up from 13 in 2022, per Dealroom. It holds stakes in OpenAI, Anthropic, Intel and xAI. When a supplier to an industry owns equity across that industry, its revenue line stops being a clean read on demand. Every dollar Nvidia books from Meta is a dollar Meta raised partly from Nvidia. That is not fraud and it is not illegal. It is also not the kind of revenue a multiple should be applied to without a footnote.

Jensen Huang's framing on Tuesday was about agents as a "new computing paradigm." Zuckerberg's was about delivering "personal agents and frontier models for billions of people." Neither addressed the accounting.

What actually gets tested

The $60B ATM is the real experiment: how much capex can be funded by shareholders once free cash flow stops covering it. If the tap runs dry before the infrastructure pays back, the correction will arrive not as a demand shock but as a financing one. Both companies' shares were flat in premarket on the news. The market has not decided yet whether $95B is confidence or a warning.

Key Takeaway: This is the same shape as the last two years of AI capex, now with the equity leg added. Vendors funding customers, customers funding vendors, and a negative free cash flow quarter papered over with stock. It works until growth slows, and the S-1 filings and ATM programs of the last week suggest the industry knows the window is not infinite.
